Terms of service
Draft pending legal review. This document has yet to be reviewed by a lawyer and may change.
These terms are the contract between Treserras Multimèdia SL and the association that subscribes to ValidPass. We have written them to be understood: if anything is unclear, please ask us before you subscribe. Here, ‘we’ means Treserras Multimèdia SL, and ‘you’ means the association, represented by the person who signs it up.

2. Who we contract with
- The contract is with the association. The person who signs it up declares that they have the power to do so or the board’s authorisation.
- Under Spanish law, a non-profit association acting outside any commercial or business activity is a consumer (consolidated text of the General Law for the Defence of Consumers and Users, TRLGDCU, Article 3). We apply these terms, including the right of withdrawal, to all associations, whether they are consumers or not.
- Nothing in these terms limits the rights that the law gives consumers. If anything here ever seemed to say otherwise, the law prevails.
3. How to subscribe
- Steps: you fill in the sign-up form (the association’s details and yours, the plan and the language); you read and accept these terms and the data processing agreement, declare that you may contract on the association’s behalf and ask us to start the service straight away (section 10); and you confirm your email address. When you open the link in the email, the account is created, you choose your password and you can sign in to the board area.
- Mistakes: before you send the form, you can review and correct all the details. Afterwards, you can change them in the board area or ask us to.
- Languages: you can subscribe in Catalan, Spanish or English.
- Confirmation and records: we email you the confirmation of the contract, with these terms. We keep a record of which version was accepted, who accepted it and when, and we will send it to you again whenever you ask.
- If we sign you up together (for example, on a video call), the acceptances are the same.
4. The service
What it includes
ValidPass lets the association issue QR membership cards that anyone can check on the spot with their phone, without installing anything. It works in any up-to-date browser, on a computer or a phone. All plans have the same features:
- the real-time card page and the manual check with the number and the DNI;
- members, season fees, areas and permits, vehicles and open periods;
- card design (with templates or your own design), a PDF for the printer and printing on A4 sheets;
- cancelling and replacing cards;
- personal access for the board, with no limit on the number of people, with roles and an activity log;
- export of all the data;
- the service in Catalan, Spanish and English, and support by email.
Some plans add services, such as priority support: the pricing page says which.
What is purchased separately
- PVC cards, which are optional (section 11). You can also print them yourselves or at your own printer’s.
- Optional services, such as assisted set-up or a custom card design, at the price we tell you before you order them.
- Features that do not exist yet (for example, a custom domain), when they exist, if they are paid for.
What it does not do
- The card page shows what the board has recorded. ValidPass does not replace the licences, authorisations or other documents required by law, and we cannot guarantee that an authority or a third party will accept the card instead of those documents.
- Checking a card requires an internet connection.
Changes to the service
We improve the service continuously. We may change or withdraw features for valid reasons (security, changes in the law, improvements or changes by our providers), at no cost to you. If a change affects you more than in a minor way, we will tell you in advance by email, and you may terminate the contract free of charge within the following 30 days, with a refund of the part of the price for the period you have not used (TRLGDCU, Article 126 bis).
5. The account and the board
- Signing up creates the association’s account with a first administrator.
- Administrators can give access to other board members, each with their own email address and password, as administrators (who can do everything) or as managers (everything except managing the board and the account).
- Everyone must keep their password to themselves and not share it. When someone leaves the board, remove their access. If you suspect that someone has got in without permission, tell us straight away.
- Keep the association’s details and billing details up to date. The association’s name, which appears on the cards, is changed by us when you ask.
- Our staff only enter your board area to give you support or when you ask us to, and each visit is recorded in your activity log as ‘ValidPass (support)’.
What we ask of you
- To use the service lawfully and in accordance with these terms.
- To have a legal basis for processing your members’ data and to tell them that their card has a public page showing their name, the last digits of their DNI, their authorised areas and their licence plates.
- That the data you enter is accurate.
- To hold the rights to the logos, designs and texts you upload. You authorise us to use them only to provide the service to you: on your pages, on the cards and in the PDFs.
- Not to use the service for anything unlawful, not to try to access other associations’ data, not to overload it and not to resell it.
6. Plans and prices
- VAT included. All the prices we show you are final, with VAT included. The invoice shows the net amount and the VAT separately. If you are based in another European Union country, the price is the same and includes your country’s VAT.
- Based on active members. The price depends on the plan, and the plan on the number of active members. The current plans and prices are those on the website’s pricing page. Your plan and your price are shown in the board area (Account).
- An active member is someone registered for the current season who has not left, whether or not they have paid the fee. Former members, reserved numbers and blank cards do not count.
- 10 % tolerance. You may exceed your plan’s limit by up to 10 % at no cost. If you exceed it by more, we will tell you on the dashboard and suggest the plan that fits, which will apply from the renewal. We will never cut off the service in the middle of a season because you have more members. If you have fewer at renewal, we will move you to the plan that fits.
- Special prices. If you have a special price (for example, as a pioneer), it applies on the terms we gave you when you got it.
- Price changes. We will tell you about any price change at least two months before the renewal. It will apply from the renewal and, if you do not agree, you can cancel before then.
- Services and cards. We show you the price of optional services and PVC cards before you order them.
7. 30-day free trial
- The first 30 days are a free trial, with all features. You do not need to give us any card or bank account.
- During the trial, the card pages show that the association is on a trial.
- Nothing is charged automatically at the end of the trial: to continue, you pay the first invoice, which we will send you before the trial ends.
- If you do not want to continue, you do not need to do anything and it will cost you nothing, although we would appreciate it if you let us know. What section 12 describes will happen: the board area becomes read-only, the card pages keep working for 30 more days and then the service ends and the data is deleted as section 15 describes.
- There is one trial per association.
8. Payment and invoices
- Yearly, in advance. The subscription is paid by the year, at the start of each period.
- The first invoice is issued at the end of the trial. If you want the renewal to coincide with the start of your season, the first period may be shorter or longer than a year, with the price in proportion to the months.
- Invoices. They are issued by Treserras Multimèdia SL in the association’s name, with the tax ID and address you give. You will find them as PDFs in the board area (Account → Invoices and payments).
- How to pay. For now, by bank transfer to the account shown in the board area, within the period stated on the invoice. When they become available, you will also be able to pay by direct debit (SEPA) or by card, through Stripe; card or account details will be handled by Stripe, not by us.
- No surcharges. We do not charge anything extra for the payment method.
9. Renewal and cancellation
- Duration. The contract starts on the day you sign up. After the trial, each subscription period lasts one year (the first one, until the first renewal date).
- Renewal. The subscription renews automatically every year on the renewal date, on the plan that fits your active members and at the current price. We will remind you on the dashboard at least 15 days before and, once email is in place, by email too.
- Cancellation. You can cancel whenever you like, as easily as you signed up: from the board area (Account → Data protection → Cancelling the service) or by emailing info@validpass.app. To avoid the next renewal, do so before the renewal date.
- When it takes effect. Cancellation takes effect at the end of the paid period, and everything keeps working until then. We do not refund the unused part of the period, except in the cases set out in these terms (withdrawal, a change that affects you, or termination by us) or by law.
- No minimum term. You are not committed to anything beyond the paid period.
- Termination by us. We may terminate the contract if the association seriously breaches these terms (for example, by using the service for something unlawful), after warning it and giving it the chance to put things right, unless there is a serious and immediate risk. If we ever stop providing ValidPass, we will give you at least three months’ notice, refund the proportional part of what you have paid and hand over all the data.
- After cancellation, you can take your data for 30 days; after that, it is deleted (section 15).
10. Right of withdrawal
- 14 days. You may withdraw from the contract within 14 calendar days of the day it was concluded (the day you signed up), without giving any reason and at no cost.
- How. Tell us clearly before the period ends: by email to info@validpass.app or by letter to Mas el Garet Nou s/n, 08550 Els Hostalets de Balenyà (Barcelona). You may use the model form in the annex, but you do not have to.
- Refund. We will refund everything you have paid us within 14 days of your telling us, using the same means of payment (unless we agree on another) and without any charge.
- Starting straight away. When you sign up, you expressly ask us to start providing the service straight away, within the withdrawal period. If you then withdraw, the law allows us to charge for the part of the service already provided (TRLGDCU, Article 108.3); but since the first 30 days are a free trial, withdrawing within these 14 days will cost you nothing.
- Optional services. If you ask us to carry out an optional service (for example, assisted set-up) within the withdrawal period, we will ask you to confirm this expressly and to acknowledge that, once it has been fully performed, you will no longer be able to withdraw from it (TRLGDCU, Article 103.a). If you withdraw when we have only performed part of it, you will pay for the part performed.
- PVC cards. They carry no right of withdrawal (section 11).
- Your data. If you withdraw, you can take your data, and we will delete it as section 15 describes.
11. PVC cards
- Ordering. PVC cards are ordered from the board area: you choose which cards and the delivery address and, before confirming, you see the price per card, the delivery charges and the total, with VAT included. You can follow the order in the same place.
- Personalised. Each card is printed with your design and with the member’s details as they stand in the board area when you order. Please check them before confirming the order.
- No withdrawal. As they are made to order, with each member’s details, the cards carry no right of withdrawal (TRLGDCU, Article 103.c). We will remind you of this before you confirm the order and in the confirmation.
- Delivery. We send them to the address you give us, within the time we tell you when you order and, at the latest, within 30 days, unless we agree otherwise. If they do not arrive in time, you may give us an additional period; if they still do not arrive, you may cancel the order and we will refund what you have paid.
- Defects. If they arrive damaged, badly printed or different from what you ordered because of a mistake on our part, let us know and we will make and send them again at no cost. You also have the 3-year legal guarantee of conformity from delivery. If the mistake is in the details or design you entered, the reprint is charged as a new order.
- Payment. It is invoiced like the subscription (section 8).
- Lost cards. If a member loses their card, cancel it in the board area: its QR code stops being valid at once. A replacement is a new order.
12. If an invoice is not paid
- If an invoice is not paid on time, we will remind you on the dashboard (and by email, once it is in place).
- If the invoice for the first subscription or for a renewal becomes overdue, the board area becomes read-only: you can see everything and export the data, but you cannot add members, record fees or create cards.
- The card pages keep working for 30 days, so that members are not penalised. If you pay within those 30 days, everything goes back to normal, with nothing lost.
- After 30 days without payment, the contract ends: the card pages stop showing members’ details, and section 15 applies.
- If you have paid and it has not been recorded yet, tell us: we will not suspend anything while we check.
13. Support and availability
- Support. By email to info@validpass.app and from the board area (Account), in Catalan, Spanish or English, on working days. We reply as soon as we can, with no guaranteed response time, unless your plan includes priority support.
- Availability. We work to keep the service running 24 hours a day, every day, with high-availability providers, but we cannot guarantee that there will never be interruptions (maintenance, failures of our providers or of the internet, or causes beyond our control). We do not offer a service level agreement (SLA).
- Where possible, we will give advance notice of planned downtime and schedule it at the quietest times. If there is a serious incident, we will tell you.
- If, for a reason within our control, the service does not work for a significant time, we will compensate you with the proportional part of the price, in addition to any other rights you have by law.
- Backups. We back up the data. Even so, we recommend that you export a copy from time to time.
14. Data protection
- The members’ data belongs to the association, which is its controller. We process it on the association’s behalf, as processor (Article 28 of the GDPR), only to provide the service.
- The terms are set out in the data processing agreement, which forms part of this contract and which a board administrator accepts in the board area (Account → Data protection). Read the data processing agreement (you need to be signed in as an administrator).
- The agreement states which providers are involved (currently, Cloudflare) and how we will tell you about changes.
- We handle the data of board members and contact persons as explained in the privacy policy.
15. Your data when the contract ends
- At any time, you can download all the association’s data in a single file (Account → Data protection → Your data).
- When the contract ends, for whatever reason, the data remains available for 30 days so that you can export it, or so that we can send it to you if you ask. From that moment, or from the date we agree, the card pages no longer show members’ details.
- After those 30 days, we delete all the data from the service: members, cards, seasons, designs and the activity log. Backups are deleted automatically when they expire.
- We only keep what the law requires us to keep, such as invoices and the record of acceptances, for the legal periods.
16. Liability
- We are liable for the service as the law provides. If it does not conform to the contract, you are entitled to have us put it right and, if that is not possible, to a price reduction or to terminate the contract, plus any compensation due.
- We are not liable for the data that the association enters, nor for decisions that other people (rangers, landowners…) make on the basis of that data if it was wrong.
- Nor are we liable for use of the service or of passwords contrary to these terms by the board or by people the association gives access to; for damage due to causes beyond our control that we could not have avoided with reasonable care (force majeure, general internet or mobile network outages); or for whether an authority or a third party accepts the card.
- Nothing in these terms limits our liability for wilful misconduct or gross negligence, or for personal injury, or the rights that the law gives consumers.
- The association is responsible for the data and content it enters and for how it uses them.
17. Intellectual property
- The software, the website and the ValidPass brand are ours or used under licence. The contract gives you the right to use the service while it lasts, not ownership of it.
- Your data, logos and designs remain yours.
18. Changes to these terms
- We may change these terms for valid reasons: changes in the law, new features, or changes by our providers or in the price.
- We will give you at least two months’ notice, by email and in the board area, explaining what is changing.
- If you do not agree, you may terminate the contract before the changes apply, at no cost, and we will refund the part of the paid period you have not used.
- Changes that are only in your favour, or that the law imposes with a shorter deadline, may apply sooner.
19. Governing law, complaints and jurisdiction
- The contract is governed by Spanish law and, where applicable, by the Catalan Consumer Code.
- Complaints. If you have a complaint, email us at info@validpass.app. We will reply as soon as we can and within one month at the latest.
- You can also contact the public consumer services, such as the Catalan Consumer Agency (Agència Catalana del Consum) or your local consumer office, which can help with mediation or arbitration.
- If a dispute goes to court, the courts of the association’s domicile will have jurisdiction.
- The Catalan, Spanish and English versions say the same. If there were ever a difference, the interpretation most favourable to the association will apply.
